SUB03 ("Company", "the Agency", "we", "our", "us").
By accessing or using our services, you agree to comply with and be bound by the following terms and conditions ("Terms"). Please read these Terms carefully before using our services. If you do not agree to these Terms, please do not use our services.
1. Services
The Agency offers visual branding services, including but not limited to photography, videography, logo (re)design, brand strategy, and marketing materials (collectively, "Services"). The scope of work, timelines, and deliverables will be outlined in a separate agreement regarding the client’s unique package/project.
2. Quotations and Proposals
All quotations and proposals provided by the Agency are valid for 28 days from the date of issue. Prices and availability of Services are subject to change without notice.
3. Payment Terms

Late Payment: Late payments may incur a 5% late fee for each week the payment is overdue. No work is delivered until payment is received.

Invoicing: the Agency works with an automatic invoicing system, 50% of each invoice covers authors rights to which 6% VAT applies (in the European Union (EU)). The remaining 50% covers service fees to which 21% VAT applies (in the EU).

Payment requests are sent via email in the form of an invoice. Invoices are received 7 days prior to payment due date.

Payments are completed via bank transfer.

Late payments may carry additional charges as by law of the Belgian constitution.
4. Cancellation and Refunds

Cancellation by Client: If the Client cancels the project/package after due balance has been paid, it will not be refunded. Any work completed beyond the latest payment term will be billed to the Client.

Cancellation by the Agency: We reserve the right to cancel a project at any time, in which case the Client will receive a full refund of any payments made.

Refunds: Due to the digital nature of all products provided, no refunds can be given.
5. Intellectual Property

Ownership: Upon full payment, the Client will own the final deliverables. The Agency retains the right to use the work for promotional purposes.

Third-Party Materials: Any third-party materials are subject to the terms of the respective licenses.

If client wishes to own exclusive rights to deliverables (SUB.03 the Agency signs off usage rights), this can be done for a fee determined per project. Written confirmation is required.
6. Revisions
Single projects include a specific number of revision-rounds as outlined in the project agreement. Additional revisions beyond the agreed number will be billed at standard hourly rate.
7. Client Responsibilities
The Client agrees to provide all necessary information, materials, and feedback in a timely manner. Delays in providing these may result in project timeline adjustments, for which the Agency is not held liable.
8. Confidentiality
Both parties agree to keep all confidential information shared during the project strictly confidential and not to disclose it to any third party without prior written consent.
9. Limitation of Liability
The Agency shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our Services. Our total liability shall not exceed the amount paid by the Client for the Services.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the government of Belgium.
11. Dispute Resolution
Any disputes arising out of or relating to these Terms shall be resolved through good faith negotiations. If such negotiations do not resolve the dispute, either party may seek resolution through legal mediation or arbitration.
12. Amendments
We reserve the right to amend these Terms at any time. Clients will be notified of any changes, and continued use of our Services constitutes acceptance of the amended Terms.
